THEOS Website Terms of Use & Transportation Policies
These Terms of Use and Transportation Policies (the “Terms”) govern access to and use of websites, applications, and services (collectively, the “Service”) operated by 380 Software LLC, d/b/a THEOS (“THEOS,” “we,” “us,” or “our”).
By accessing or using the Service, you (“User” or “Member”) agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you may not use the Service.
Use of the Service is also subject to THEOS’ Privacy Policy, available on the Website.
The Terms may be revised and updated by Us from time to time without notice to You. Any changes made to these Terms shall be effective as soon as the changes are made available on the THEOS Platforms. The Terms applicable to You are the Terms posted on the THEOS Platforms at the time of Your access to the THEOS Platforms. These Terms supersede and replace all prior terms applicable to access and use of the THEOS Platforms that THEOS has presented prior to the date at the top of these Terms.
1. Nature of Service
THEOS operates as a membership-based private aviation platform offering access to shared charter flights and related services. All flights are operated by properly licensed air carriers under applicable FAA regulations, including but not limited to Part 135 operators.
THEOS does not act as a direct air carrier unless expressly stated and may act as an authorized agent for participating operators.
2. Eligibility & Account Registration
You represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to enter into these Terms
- If acting on behalf of an entity, you are authorized to bind that entity
You agree to provide accurate, current, and complete information and to maintain the security of your account credentials. You are responsible for all activity under your account.
3. Bookings & Payment Terms
- All pricing is listed in U.S. Dollars
- Accepted payment methods: Visa, Mastercard, and American Express
- Full payment is required at the time of booking unless otherwise specified
- THEOS reserves the right to refuse or cancel any booking at its discretion
All bookings are subject to availability, operational constraints, and operator approval.
4. Flight Operations & Disruptions
All flights are subject to:
- FAA regulations and operator requirements
- Weather conditions
- Air traffic control restrictions
- Mechanical or operational considerations
THEOS and/or the operating carrier may delay, reschedule, or cancel flights for safety or operational reasons at any time.
THEOS shall not be liable for delays, cancellations, or schedule changes outside of its control.
5. Cancellation, Refund & Flight Credit Policy
a. Member-Initiated Cancellations
- More than 48 hours prior to departure:
Eligible for a full flight credit equal to the amount paid
- Less than 48 hours prior to departure or no-show:
Non-refundable and not eligible for credit
b. THEOS / Operator-Initiated Changes
If a flight is canceled by THEOS or the operating carrier (excluding force majeure):
- User will receive either:
- A full refund to the original form of payment, or
- A full flight credit (at User’s election)
c. Flight Credits
- Flight credits are non-transferable unless otherwise approved by THEOS
- Credits must be used within 6–12 months from date of issuance (final duration set by program tier)
- Credits may only be applied toward future THEOS bookings
- Any residual value remains as a credit until expiration
d. Dynamic Pricing & Rebooking
Rebooked flights are subject to current market pricing. If the new booking exceeds the original fare, the User is responsible for the difference.
6. Security & Travel Requirements
All passengers must comply with:
- TSA security requirements (including Secure Flight passenger data submission such as full legal name and date of birth)
- Government-issued identification requirements
- Operator-specific safety procedures
Failure to comply may result in denied boarding without refund.
7. Prohibited Conduct
You agree not to:
- Use the Service for fraudulent or unlawful purposes
- Interfere with the operation or security of the Service
- Attempt unauthorized access to systems or data
- Use automated tools (scraping, bots, etc.) without permission
THEOS reserves the right to suspend or terminate accounts for violations.
8. Intellectual Property
All content, branding, software, and materials are the exclusive property of THEOS or its licensors and are protected by applicable intellectual property laws.
No rights or licenses are granted except as expressly stated.
Information and materials concerning THEOS and its products and services, and similar items from our licensors and other third parties, including flight schedules, fares, text, graphics, button icons, layout, databases, articles, posts, data, files, images, scripts, designs, instructions, illustrations, photographs, sounds, pictures, advertising copy, URLs, technology, software, interactive features, the “look and feel” of the Sites, audio and video clips, digital downloads, data compilations (including customer and flight information), the compilation, assembly, and arrangement of the materials of the THEOS Platforms, all copyrightable materials, trademarks, logos, trade names, trade dress, service marks, and trade identities of various parties, including those of THEOS, and other forms of intellectual property, and information regarding the status of THEOS flights, etc. is referred to as “THEOS Platform Content." The THEOS Platform Content may contain errors, omissions, or typographical errors or may be out of date. THEOS may change, delete, or update any information or materials posted by THEOS at any time, from time to time, without prior notice. The information and materials posted on the THEOS Platforms by THEOS are provided for informational purposes only and are not binding on THEOS in any way except as otherwise expressly agreed to in writing by THEOS. The information supplied by the THEOS Platforms is believed to be accurate, but THEOS does not warrant or guarantee such accuracy. We do not authorize the use of this information for any purpose other than your personal use and you are expressly prohibited from the resale, redistribution, and use of the information contained herein for commercial purposes. All prices for services on the THEOS Platforms are quoted in U.S. currency, are valid and effective only in the United States, and are subject to change at any time without notice.
All right, title, and interest in and to the THEOS Platform Content is the property of THEOS or our licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent and/or other intellectual property and unfair competition rights and laws to the fullest extent possible. THEOS owns all copyrights, trademarks, service marks, and trade names related to our Company Information. All Company Information is proprietary to THEOS.
With the exception of information you provide in connection with account creation, newsletter sign-ups, and/or purchases, You agree that any information or materials that You or individuals acting on Your behalf provide to THEOS will not be considered confidential or proprietary. By providing any such information or materials to THEOS, You grant to THEOS an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, display, publicly perform, transmit and distribute such information and materials. You further agree that THEOS is free to use any ideas, concepts or know-how that You, or individuals acting on Your behalf, provide to THEOS. You hereby agree that any comments, feedback or recommendations provide by You for the improvement or modification of the THEOS Platforms, the THEOS Platform Content, and/or the merchandise or services advertised on the THEOS Platforms shall be the sole property of THEOS.
Unless otherwise noted, the trademarks, logos, photography, brand names and service marks used on the THEOS Platforms are owned by THEOS or by third parties that have licensed their use to THEOS. You may print copies of the content on the THEOS Platforms, provided that these copies are made only for internal use, and that any notices contained in any such content, such as all copyright notices, trademark legends, or other proprietary rights notices, are maintained. Other use of these marks or THEOS Platform content, except as specifically permitted in these Terms or in a writing signed by THEOS, is strictly prohibited. Elements of the THEOS Platforms are protected by trade dress, trademark, unfair competition and other state and federal laws and, except as expressly permitted herein, may not be copied or imitated in whole or in part by any means, including, but not limited to, the use of framing or mirrors. User shall not store electronically any significant portion of the Sites.
9. Limitation of Liability
To the maximum extent permitted by law:
- THEOS provides the Service on an “as is” and “as available” basis
- THEOS disclaims all warranties, express or implied
- THEOS is not liable for indirect, incidental, consequential, or punitive damages
Total liability shall not exceed the amount paid by User for the applicable booking.
YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE THEOS PLATFORMS IS AT YOUR SOLE RISK AND THAT THE THEOS PLATFORMS, THE THEOS CONTENT, AND ALL OTHER INFORMATION, SERVICES, MERCHANDISE AND OTHER CONTENT (INCLUDING THIRD-PARTY INFORMATION, SERVICES, MERCHANDISE AND CONTENT) INCLUDED IN OR ACCESSIBLE FROM THE THEOS PLATFORMS ARE PROVIDED ON AN "AS IS", "AS AVAILABLE”,"WHERE-IS", "WHERE AVAILABLE", AND “WITH ALL FAULTS” BASIS, AND ARE SUBJECT TO CHANGE AT ANY TIME WITHOUT NOTICE TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW, THEOS, ITS AFFILIATES OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES OR AGENTS (COLLECTIVELY, THE ("THEOS PARTIES") DISCLAIM ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT OF PROPRIETARY RIGHTS) AS TO THE THEOS PLATFORMS, THE THEOS PLATFORM CONTENT, AND ALL OTHER INFORMATION, MERCHANDISE AND OTHER CONTENT (INCLUDING THIRD-PARTY INFORMATION, MERCHANDISE AND CONTENT) INCLUDED IN OR ACCESSIBLE FROM THE THEOS PLATFORMS.
PLEASE NOTE THAT SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10. Indemnification
You agree to indemnify and hold harmless THEOS, its affiliates, partners, operators, and employees from any claims, damages, or liabilities arising from:
- Your use of the Service
- Violation of these Terms
- Violation of applicable laws or third-party rights
11. Governing Law & Dispute Resolution
These Terms and the relationship between you and THEOS shall be governed by the laws of the State of Nevada without regard to any conflict of law provisions.
You agree that all disputes shall be resolved through binding arbitration in Clark County, Nevada and you hereby consent to Nevada as being the exclusive jurisdiction for any disputes. Nothing herein shall limit the right of any hereto to seek injunctive relief in State or Federal court in Clark County, Nevada.
You agree that (i) any transactions carried out through the THEOS Platforms will be deemed to take place in the State of Nevada, United States of America, regardless of the jurisdiction where you may be located or reside, and (ii) any payment in connection with such transactions will only be accepted in US dollars. You further agree and acknowledge that any advertising, promotional or marketing information that may be contained in any communications that you may receive as a result of your use of the Sites is only intended to have effect and will only be applicable in the United States of America. You waive any right to participate in class actions.
12. Modifications
THEOS reserves the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.

14. Miscellanous
a. Entire Agreement: These Terms, together with any agreement into which these Terms are incorporated by reference, constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements between the parties with respect to such subject matter. All references to statutes and related regulations shall include any amendments of same and any successor statutes and regulations.
b. Non-Waiver: These Terms may be waived only in writing signed by an authorized representative of THEOS. No waiver by THEOS of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default, and the failure to exercise any right arising from any default hereunder shall not be deemed a waiver of such right that may be exercised at any subsequent time.
c. Modification: Except as expressly stated herein, these Terms cannot be altered, amended, modified, terminated, waived, released or discharged except in a writing by THEOS, and no change, modification or revision to this Agreement is binding unless agreed to in writing by an officer of THEOS.
d. Severability: If any provision hereunder shall be unlawful, void, or for any reason unenforceable, then such provision shall be deemed severable from the other provisions hereunder and shall not affect the validity and enforceability of any other provisions hereunder.
e. Force Majeure: THEOS shall not be liable for any nonperformance or delay in performance caused by any act or event beyond its reasonable control, including, but not limited to, acts or omissions of third parties, unavailability of supplies, equipment failure, war, strikes, lockouts, fire, flood or any other act of God, any law, regulation, ordinance or other act or Order of any court, government or governmental agency, or delays, unavailability, errors or other failures of the Internet or other data networks.
f. Successors: These Terms shall be binding on the successors and assigns of the parties, including, but not limited to, the indemnity obligations set forth herein, but You may not assign, transfer or delegate its rights or obligations under these Terms without THEOS's prior express written consent.
g. Cumulative Remedies: No right or remedy conferred upon or reserved to THEOS by these Terms shall be exclusive of any other right or remedy herein or by contract or law, and all rights or remedies conferred upon THEOS by these Terms and by law shall be cumulative and in addition to any other right or remedy available to THEOS
